Terms of Service

Club Prize LLC — Effective date: [10.05.26]

These Terms of Service ("Terms") are a binding agreement between you and Club Prize LLC ("Club Prize," "we," "us") governing your use of our website, memberships, perks, content, and related services (the "Services"). By creating an account, purchasing a membership, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, a legal resident of the 48 contiguous United States or the District of Columbia, and capable of forming a binding contract. Sweepstakes eligibility is governed separately by each promotion's Official Rules, which may be narrower.

2. What membership is — and what it is not

Club Prize is a paid membership club. Your membership buys access to member benefits: partner discounts and offers, members-only community access, gear drops at applicable tiers, and other perks we describe at purchase. Entries into our promotional sweepstakes are a free promotional benefit provided with membership — they are not the product you are purchasing, and no purchase is ever necessary to enter any Club Prize sweepstakes. Each sweepstakes is governed by its own Official Rules, including a free alternative method of entry with equal odds per entry. If anything in these Terms conflicts with a promotion's Official Rules, the Official Rules control for that promotion.

3. Accounts

You are responsible for your account credentials and all activity under your account. Provide accurate, current information and keep it updated; we may suspend or terminate accounts with false information. One account per person.

4. Membership tiers, billing, and auto-renewal

• Tier pricing, entry allocations, and perks are stated at purchase and may change prospectively with notice.
• Automatic renewal: memberships renew automatically each billing period (monthly or annual) at the then-current price, charged to your payment method on file, until you cancel. You may cancel at any time in your account settings, effective at the end of the current paid period. See the Subscription & Refunds tab for full billing, cancellation, and refund terms, which are incorporated into these Terms.
• Streak multipliers, prize-vote rights, and similar loyalty features are promotional features we may modify prospectively; your then-current Official Rules govern how entries are calculated for any open promotion.
• Failure of payment may result in suspension of perks and lapse of promotional entries for subsequent draws.

5. Perks and third-party offers

Discounts and offers are provided by third parties and may change, expire, or have their own terms. We don't guarantee availability of any specific merchant, discount amount, or offer, and we are not responsible for third-party products or services. Perks are personal to you and may not be resold.

6. Gear drops and physical goods

Shipping, returns, and defects for physical goods are governed by the Shipping & Returns tab, incorporated into these Terms.

7. Acceptable use

You agree not to: violate any law; infringe others' rights; attempt to manipulate, automate, or defraud any promotion (including bulk accounts, scripts, or entry farming); resell memberships or perks; interfere with the Services; or harass our team or other members. We may void entries obtained in violation of a promotion's Official Rules and may suspend or terminate violators.

8. Intellectual property

The Services, including the Club Prize name, logo, site content, and designs, are owned by Club Prize LLC or its licensors. We grant you a limited, revocable, non-transferable license to use the Services for personal, non-commercial purposes. You may not copy, modify, or create derivative works without our written permission. If you submit content (comments, photos, winner videos you appear in under a signed release), you grant us a worldwide, royalty-free license to use it in connection with the Services and our promotion, consistent with the applicable release and law.

9. Disclaimers

THE SERVICES AND PERKS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION. SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. Prize-specific condition disclosures are made in the applicable Official Rules and winner documents; vehicles and powersports prizes may be used goods conveyed as described there.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLUB PRIZE LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS (INCLUDING THE INDEPENDENT SWEEPSTAKES ADMINISTRATOR) WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, ARISING FROM OR RELATING TO THE SERVICES, AND OUR TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) $100. SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You will defend and indemnify Club Prize LLC from claims arising out of your violation of these Terms, your misuse of the Services, or your violation of law or third-party rights.

12. Dispute resolution — arbitration and class-action waiver 

Except for small-claims matters and injunctive relief for IP violations, any dispute arising out of these Terms or the Services will be resolved by binding individual arbitration administered by [AAA/JAMS] under its consumer rules, in [COUNTY, STATE] or remotely. You and Club Prize each waive the right to a jury trial and to participate in a class action. You may opt out of this arbitration provision within 30 days of first accepting these Terms by emailing myclubprize@gmail.com with the subject "Arbitration Opt-Out." This section does not apply where prohibited by law.

13. Governing law

These Terms are governed by the laws of the State of [TEXAS], without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 12.

14. Termination

You may stop using the Services and cancel your membership at any time. We may suspend or terminate access for violations of these Terms or Official Rules, fraud, or legal requirement; paid periods already delivered are governed by the Subscription & Refunds tab. Sections that by their nature survive (IP, disclaimers, limitations, disputes) survive termination.

15. Changes to these Terms

We may update these Terms prospectively; material changes will be notified by email or site notice before taking effect, and continued use after the effective date constitutes acceptance. The version in effect at each renewal governs that renewal.

16. Miscellaneous

These Terms, the Privacy Policy, the Subscription & Refunds policy, the Shipping & Returns policy, the SMS & Email Terms, and the applicable Official Rules are the entire agreement. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
